Terms of Service

This document contains two parts: (1) Teamed’s Terms of Service, which govern your use of the platform; and (2) Teamed’s Privacy Policy, which explains how we collect, use, and protect your information. Please read both carefully before using our services.

1. Acceptance of Terms

Welcome to Teamed. By accessing or using https://www.teamedforlearning.com (the “Site”) or any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).

If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility and Account Registration

You must be at least 18 years old to use Teamed. Teamed is not intended for use by minors, and we do not knowingly collect information from anyone under 18.

To access certain Services, you must create an account. By doing so, you agree to:

  • Provide accurate, current, and complete information
  • Keep your account information up to date
  • Use the Services in a professional and lawful manner
  • Keep your password confidential and not share it with others

You are responsible for all activity that occurs under your account.

3. Teamed’s Role — Platform Connector and, in Some Cases, Direct Engaging Party

This section is important. Please read it carefully.

Teamed as Platform

In most cases, Teamed operates as a platform that connects learning professionals with third-party organizations seeking talent. In this capacity, Teamed is not an employer, staffing agency, employment agency, or hiring decision-maker.

When Teamed is acting as a platform connector:

  • Teamed does not make hiring decisions on behalf of any employer
  • Employers are solely responsible for their hiring decisions, including evaluating candidates, extending offers, and onboarding
  • Employers are solely responsible for pay, benefits, taxes, workers’ compensation, and compliance with applicable employment laws
  • Employers are solely responsible for workplace conditions and the day-to-day management of any person they hire or engage
  • Teamed is not liable for disputes between employers and talent, including disputes about pay, classification, working conditions, or termination

Where Teamed facilitates contractor engagements through a third-party Employer of Record (“EOR”) partner, the EOR assumes all employment-related responsibilities. Teamed is not the employer of record in any such arrangement.

Teamed as Direct Engaging Party

In certain circumstances, Teamed itself directly engages independent contractors to perform services on behalf of Teamed or its clients. In these cases, Teamed acts as the engaging party — not as a platform intermediary.

When Teamed directly engages a contractor:

  • A separate Independent Engagement Agreement governs the terms of that relationship and takes precedence over these Terms with respect to the specific engagement
  • Teamed follows a formal contractor classification process to ensure compliance with applicable federal and state laws, including IRS guidelines and relevant state-level tests for independent contractor status
  • Teamed does not guarantee ongoing engagement, minimum hours, or continued work beyond what is specified in the applicable agreement
  • Directly engaged contractors are not employees of Teamed unless expressly stated in a separate written agreement

4. Platform Access, Visibility, and Curation

Open Access

Any individual may create a profile and use the Services, subject to these Terms. Creating a profile does not guarantee visibility, engagement, recommendations, or participation in recruitment services.

Talent Pool

Completed profiles may be included in Teamed’s talent pool by default, unless restricted due to policy violations or your own visibility settings. The talent pool is moderated for accuracy and professionalism. Inclusion does not imply endorsement or suitability for any specific role.

Profile Visibility

Profile visibility depends on factors including role criteria, skills, experience, market demand, profile completeness, and user-stated intent. Teamed does not guarantee that any profile will be shown to employers or other users.

Team Select

Teamed may designate certain professionals as Team Select based on additional evaluation criteria. Team Select is a curated designation, does not guarantee employment or engagement, and can be removed without affecting general platform access.

5. Content, Intellectual Property, and License Grant

You are responsible for all content you submit to the platform, including profiles, job postings, reviews, portfolios, and other materials (“Content”).

You represent that your Content:

  • Is accurate and truthful
  • Does not violate any applicable law or third-party rights
  • Is professional and non-discriminatory

You retain ownership of your Content. However, by submitting Content to Teamed, you grant Teamed a non-exclusive, worldwide, royalty-free license to host, display, format, distribute, and use your Content solely for the purpose of operating and improving the Services, including AI-assisted matching and recommendations.

This license ends when you delete your Content or close your account, except where retention is required by law or these Terms.

Teamed reserves the right to remove Content that violates these Terms or platform standards.

6. Confidentiality

By using the Services, you may receive access to non-public, proprietary, or confidential information belonging to Teamed, employers, or other users (“Confidential Information”).

You agree to:

  • Keep Confidential Information strictly confidential
  • Not disclose Confidential Information to any third party without prior written consent
  • Use Confidential Information only as necessary to participate in the Services
  • Limit access to Confidential Information to those who need it for a permitted purpose

These confidentiality obligations survive termination of your account or these Terms.

Note for placed contractors: If you are engaged through a Teamed placement, a separate Independent Engagement Agreement governs additional confidentiality and work product obligations specific to that engagement. Please review that agreement carefully.

7. Work Product — Placed and Directly Engaged Contractors

This section applies to professionals engaged through Teamed’s recruitment, placement, or direct engagement services.

Placed Contractors (Third-Party Employer Engagements)

Where Teamed has introduced you to a third-party client or employer, all work product created in connection with services performed for that client (“Work Product”) shall be considered work made for hire under applicable copyright law, and all rights shall vest in the client.

To the extent any Work Product is not deemed work made for hire, you hereby assign all rights, title, and interest in such Work Product to the client. You agree to execute any documents reasonably necessary to confirm such ownership.

Contractors placed with third-party clients have no authority to bind Teamed or make representations on Teamed’s behalf.

Directly Engaged Contractors (Teamed as Engaging Party)

Where Teamed has directly engaged you as an independent contractor, the terms governing work product ownership, intellectual property, and deliverables are set out in your Independent Engagement Agreement with Teamed. That agreement takes precedence over this section.

In the absence of a specific agreement to the contrary, all work product created by a directly engaged contractor in connection with services performed for Teamed or its clients shall be considered work made for hire, with all rights vesting in Teamed or the applicable client.

Teamed follows a formal contractor classification process when engaging contractors directly. This process is designed to ensure compliance with applicable federal and state independent contractor classification standards. Classification as an independent contractor does not create an employment relationship with Teamed.

8. Job Board Posting Rules

Employers may post job listings subject to these Terms. Teamed reserves the right to modify posting limits or introduce paid tiers with notice.

All job postings must:

  • Comply with applicable state and federal pay transparency laws
  • Comply with U.S. anti-discrimination laws, including EEOC requirements and 8 U.S.C. § 1324b
  • Be submitted by a verified hiring manager or authorized company representative
  • Include accurate contact information

Teamed may remove any posting that is unlawful, discriminatory, misleading, or otherwise non-compliant, with or without advance notice.

9. AI-Assisted Services

Teamed uses AI-assisted systems to support platform features including matching, recommendations, and search ranking.

You should know that:

  • AI features are assistive and informational — they do not make hiring or employment decisions
  • AI may rank or recommend profiles based on relevance, skills, and stated preferences
  • AI does not guarantee outcomes, placements, or matches
  • Final hiring decisions are always made by humans — specifically, by employers
  • AI systems do not override your consent or visibility controls
  • Our AI may recommend roles to you and may surface your profile to employers as a potential match, consistent with your visibility settings; for AI introductions, we ask your permission before sharing you with a specific employer

10. Payments, Refunds, and Commercial Terms

Fees

Certain Services — including job postings, talent subscriptions, and placement services — may require payment. Fees are described on the applicable pricing page and are subject to change with notice.

Payment

Payment is due at the time of purchase unless otherwise stated. You authorize Teamed and its payment processors to charge your selected payment method. You are responsible for ensuring your payment information is accurate and current.

Refunds

Payments are non-refundable except in cases of verified platform errors. If you believe a charge was made in error, contact support@teamedforlearning.com within 30 days of the charge.

Failed Payments and Balances Due

Unpaid balances may result in suspension or termination of your account until payment is resolved. You are responsible for any taxes applicable to your use of the Services.

Recruitment Placement Fee — Origin Persistence

A candidate first introduced to a client through Teamed’s recruitment service remains a recruitment placement for fee purposes for all subsequent engagements between that client and that candidate — including a candidate the client later discovers and hires through the Talent Pool, and any re-hire initiated through My Workforce. The recruitment placement fee (currently 20%) applies to all such work. This recruitment classification ends only if (a) the candidate is converted to the client’s employee, or (b) at least 24 months pass with no active engagement between the client and the candidate, after which a new engagement initiated via the Talent Pool is treated as a Talent Pool hire (no recruitment fee).

11. Termination

By Teamed

Teamed may suspend or terminate your access to the Services at any time, with or without notice, for any reason including violation of these Terms, fraudulent activity, or conduct that harms other users or the platform.

By You

You may close your account at any time by contacting support@teamedforlearning.com. Upon closure, your public profile will be removed from the platform.

What Happens to Your Data

After account closure, Teamed may retain certain information as required by law, to resolve disputes, prevent fraud, or enforce these Terms. See the Privacy Policy for details on retention periods. Confidentiality and work product obligations survive termination.

12. Equal Opportunity and Non-Discrimination

Teamed is an equal opportunity platform and talent placement service. We prohibit unlawful discrimination in all platform services, including job postings, recruitment, referrals, and contractor engagements.

We prohibit discrimination on the basis of race, color, religion, sex, sexual orientation, gender identity, genetic information, national origin, veteran status, disability, or any other characteristic protected under applicable law.

In accordance with 8 U.S.C. § 1324b, Teamed prohibits discrimination on the basis of citizenship or immigration status and national origin in the recruiting, referral, hiring, and firing process. Teamed prohibits retaliation against anyone who opposes unlawful discrimination or participates in any related investigation or proceeding.

13. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, express or implied. Teamed does not guarantee job placements, candidate suitability, hiring outcomes, match quality, or the accuracy of any listings or profiles.

To the fullest extent permitted by law, Teamed and its affiliates, officers, employees, and agents are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, data loss, reputational harm, or business interruption
  • Inaccuracies, errors, or omissions in job postings, profiles, or listings
  • Disputes between users, including between employers and talent
  • Unauthorized access to user data despite reasonable security measures

Teamed’s total liability to you for any claim arising from the Services shall not exceed the greater of (a) the amount you paid Teamed in the 12 months prior to the claim, or (b) $100 USD.

14. Indemnification

You agree to indemnify, defend, and hold harmless Teamed and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your Content
  • Your violation of these Terms
  • Your violation of any applicable law
  • Any hiring decision, employment action, or contractor engagement you make through the platform

15. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Informal Resolution First

Before initiating any formal proceeding, you agree to contact Teamed at support@teamedforlearning.com and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Warrenton, Virginia, or remotely by mutual agreement.

Class Action Waiver

You waive any right to bring or participate in a class action, class arbitration, or representative proceeding. All disputes must be brought in your individual capacity only.

Exceptions

Either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Small claims court actions are also excluded from mandatory arbitration.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.

17. Changes to These Terms

Teamed may update these Terms from time to time. For material changes, we will provide at least 30 days’ notice by posting a notice on the Site or emailing you. Your continued use of the Services after the effective date of any change constitutes acceptance of the updated Terms.
